EQT Group to Acquire Coller Capital in $3.2 Billion Transaction

Key transaction terms

– EQT will acquire 100% of the Coller Capital management company and general partner entities

– EQT will acquire 10% of carried interest in Coller’s most recent flagship fund, CIP IX

– CIP IX closed at USD 10.2 billion in fee-generating commitments, with a total fund size of USD 14.2 billion

– EQT will be entitled to 35% of carried interest in all future closed-ended Coller Capital funds

– Base consideration totals USD 3.2 billion on a cash- and debt-free basis

– Jeremy Coller will receive approximately 72% of the base consideration and 29% of the contingent consideration

– Institutional minority sellers will receive approximately 19% of the base consideration and 8% of the contingent consideration
